UOKiK Approves the Acquisition of Why Not Travel by eTravel S.A.

The Office of Competition and Consumer Protection (UOKiK) has approved the acquisition of 100% of the shares in Why Not Travel Sp. z o.o. by eTravel S.A. This decision enables the finalization of the transaction, under which eTravel will assume full control over Why Not Travel and its subsidiary entities.

The approval marks the next stage of the process initiated in May this year, when eTravel and Why Not Travel signed a preliminary share purchase agreement. The obtained consent allows the transaction to proceed to completion.

eTravel S.A. is the largest business travel management company and a technology leader in this segment in Central Europe. The company develops proprietary reservation systems and provides services to public sector organizations, private enterprises, and individual clients. eTravel is owned by the investment fund Polish Enterprise Funds SCA, based in Luxembourg.

Why Not Travel Sp. z o.o. operates in the corporate travel and MICE segments. The company is active under the BlueSky Travel and Sigma Travel brands and specializes in organizing business travel, industry events, conferences, and congresses for institutional and commercial clients.

As a result of the transaction, eTravel will strengthen its position in business travel management and MICE services by leveraging the expertise of the Why Not Travel team. The combined capabilities will support further development and expand the availability of solutions offered to clients.
