eTravel S.A., a company from the Enterprise Investors portfolio, has signed a preliminary agreement to acquire 100% of the shares in Why Not Travel Sp. z o.o. (“WNT”), a company with a strong position in both the corporate and leisure travel markets.

• The transaction is subject to approval by the Polish Office of Competition and Consumer Protection (UOKiK).
• The value of the investment has not been disclosed.

The acquisition aligns with the strategy developed earlier this year by eTravel and Enterprise Investors: to build a regional provider of technology for managing business travel and distributing airline tickets. The strategy foresees both significant organic growth and acquisitions in Poland and abroad, as well as the expansion of services and further development of eTravel’s proprietary technologies.

Founded in 2011, eTravel is one of the largest travel management companies in Central and Eastern Europe. The company has developed its proprietary Corporate Travel Assistant (CTA) platform, which integrates travel planning and booking with clients’ internal policies and accounting systems. This allows significant cost savings and greater user convenience. In 2024, eTravel completed over one million bookings, including more than 300,000 flights and the same number of hotel stays, serving numerous domestic and international corporations.

The Why Not Travel Group, established in 2004, is a major player in managing business travel for the public sector, tour operators, and individual customers, operating under brands such as BlueSkyTravel and Sigma Travel. The group also has strong expertise in the MICE segment, specializing in organizing large-scale conferences and industry events — which will further strengthen eTravel’s capabilities in this area.
